AGREEMENT

Telekom Malaysia Berhad (“TM”), while employing various domains, has established www.iTalkWhoa.com as its official site. TM provides this website and related services solely for the personal, noncommercial use of its visitors, subject to compliance with this Terms of Use Policy (“Terms of Use”). All visitors are urged to review the stipulations in the Terms of Use by clicking on the "I Accept" button or checking the "I Accept" box; if they are not acceptable, please exit this TM website immediately. By accessing the TM website the visitor (a) acquiesces to these terms and conditions,(b) agree to be bound by the Terms of Use, (b) represent and warrant that visitors are authorized to bind itself or any entity on whose behalf the Terms of Use are entered into and (c) represent and warrant that any such entity agrees to be bound by these Terms of Use.

Visitors represent and warrant:

Authority To Enter Into This Agreement. Visitor have all necessary right, power and authority to enter into and perform as required under this Terms of Use. Visitor are not barred from receiving TM’s Service under the laws of the Malaysia or other applicable jurisdiction.
Age - Visitor must be at least 18 years old (with a valid identification card) to purchase and register for the line and the Service.
Accuracy - All information provided by visitor to TM is true, accurate, valid, current and complete. Visitor e-mail address is regularly checked. If visitor do not provide such information, or TM reasonably suspects that visitor have not, TM has the right to suspend and/or terminate visitor’s account and refuse any and all use or access to TM Service, including forfeiture of any prizes or awards won in any contest.
Term And Termination
Term - This Agreement shall become effective upon visitor’s acceptance of the Terms of Use and shall remain in effect in perpetuity unless terminated hereunder.
Termination - Either visitor or TM may terminate visitor’s account at any time, for any reason or no reason, without explanation. Visitor agrees that TM may, without prior notice, immediately terminate visitor’s account, any associated email address, and access to TM Service. Cause for such termination shall include, but not be limited to: (a) breaches or violations of this Agreement or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by visitor, (d) discontinuance to TM Service (or any part thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity beyond a continuous ninety (90) days, (g) visitor have engaged in fraudulent or illegal activities, (h) any event of Force Majeure occurs, and/or (i) nonpayment of any fees owed by visitor in connection with TM Services. TM shall not be liable to visitor or any third-party for any termination of visitor’s account, made in TM's sole discretion.

TM FEATURES AND TERMS

Actions Prohibited to Visitors
Visitors to this TM website are prohibited from the following actions:

Attempting to gain unauthorized access to the website’s features or activities;
Accessing data not intended for such visitor or logging into an account in which the visitor is not authorized to access;
Accumulation of e-mail addresses;
Sending unsolicited e-mail which communicates any message unrelated to participation in online discussions or which promotes any activity, program,
product, or service;
Linking to this website in an e-mail for commercial purposes; or
Bypassing the TM home page, or framing it.
Not use TM Service for any unlawful purpose including without limitation for any criminal purposes;
Not use TM Service to send unsolicited electronic messages or any message which is obscene, threatening or offensive on moral, religious, racial or political grounds to any person including a company or a corporation;
Not compromise or infect any systems with computer viruses or otherwise;
Not infringe any intellectual property rights of TM, its related companies and subsidiaries or any third party;
Not gain unauthorised access to any computer system connected to the Internet or any information regarded as private by any person including a company or corporation;
Not share TM Service with any person including a company or corporation without the prior written approval of TM and shall use TM Service only for the purpose for which it is subscribed;
Not resell or sublet TM Service to any third parties without prior written consent from TM; and,
Not use TM Service in any manner, which in the opinion of TM may adversely affect the use of TM Service by other customers or efficiency or security as a whole.

Visitor shall only use TM Service for lawful purposes. Transmission of any material in violation of any international, federal, state or local laws or regulations is prohibited. These include, but shall not be limited to copyrighted material, material legally judged to be threatening or obscene, pornographic, profane, or material protected by trade secrets. These also include links or any connection to such materials.

Fee
Visitor hereby agree that:

Visitor shall pay the monthly subscription fee of RM1 or such rates as may be prescribed and informed to the Visitor by TM from time to time (“Subscription Fee”) in order to enjoy the TM Service;
TM shall be entitled to deduct the Subscription Fee from Visitor’s iTalk credit;
Visitor shall pay for the iTalk calls to their choice destination according to its rates
Visitor shall be charged for each SMS sent;
The Visitor is to utilize the iTalk credit prior to its expiry date. After the expiry date, all iTalk credit shall be forfeited and the Visitor cannot claim for the balance of the credit, if any (PREPAID RULE)

Disclaimers
TM disclaims all representations or warranties of any kind regarding the availability, suitability or reliability of any information, product or service available on the TM website. Use of and reliance on information or recommendations derived from the TM website is at the visitor’s OWN RISK. All Materials, products, services and information contained within or available through the TM website are provided on an “as is” basis.

In no event shall TM, its employees or any others involved in creating, sponsoring, promoting, or otherwise making the TM website and its contents possible, be liable whatsoever for any direct, indirect, incidental, special, compensatory, consequential, or punitive damages in connection with the use of any of the Materials or services available from this website.

TM will not be responsible for any technical failures resulting in any malfunction, service interruption or other damages, whether the problem source is equipment or human-generated. If use of the website or the Materials results in the need for servicing or replacing equipment or data, TM will not be responsible for bearing those costs.

Indemnification
TM and its employees, authorised agents and distributors shall be indemnified and held harmless from any and all claims, liabilities, costs and expenses, including reasonable attorneys’ fees, resulting from a visitor’s violation or breach of any provision of the Terms of Use, any additional terms, or arising in any way out of a visitor’s use or misuse of the TM website or any related function.

Jurisdiction
The Terms of Use shall be interpreted and enforced exclusively in accordance with the laws of Malaysia.

The exclusive jurisdiction for any claim or action arising out of or relating to the Terms of Use or a visitor’s use of the website shall be vested in the courts of Malaysia.

Links to Advertisers and Third Parties
The TM website provides general advertising and other content provided by TM’s advertisers and content providers. Merchandise
Merchandise offered for sale on the TM website is not meant for resale but for customers’ own use or as personal gifts.
TM’s creation of an order confirmation does not signify final acceptance of an order, nor does it constitute a binding confirmation of an offer to sell any merchandise. TM reserves the right to decline an order for any reason up until the time the merchandise is actually delivered. We reserve the right to limit or reduce the quantity of an order of any merchandise upon providing notice.

Severability
If any provision of the Terms of Use or the application thereof to any person or circumstances is declared in a court of law to be invalid or unenforceable, the invalidity or unenforceability of such provision shall not affect the validity of the remaining provisions.

Software Available Through the Website
Any software made available to view and/or download in connection with a TM service is owned by TM and/or licensors and suppliers and is protected by copyright laws and international conventions. Permitted software usage is limited to personal, noncommercial use and is governed by the end user license agreement.

Unauthorized Use and Termination
Breaches of TM’s system or network security may result in civil or criminal liability. Visitors may only use the TM website for authorized and legal activities. Member-Visitor Registration

Consent to the additional member-visitor terms is necessary before obtaining access to those areas, products and services. A visitor may become a member-visitor by reading and agreeing to the Terms of Use and the additional terms, and by completing the registration form. Member-Visitor Accounts, Names and Passwords

By participating in TM’s website activities a member-visitor certifies that he/she is at least 18 years of age and meets all other eligibility and residency requirements.

Visitors and member-visitors may occasionally enter into website promotions to which TM is not a party, and such arrangements are solely between that promoter and the visitor or member-visitor.

Interactive Services
The TM website may offer certain services having interactive components. Additional terms may apply to these services, which will appear where these services are available.

Public Areas

Subscription Services
The TM website may offer certain subscription services. Registering for a subscription service may trigger applicable rules set forth in the description for that service.

ACTIONS PROHIBITED TO MEMBER-VISITORS

In addition to the actions prohibited to visitors to the TM website, member-visitors are further prohibited from the following actions:

Attempting to impersonate another party;
Interfering with or manipulating the registration process for contests, sweepstakes, surveys, message boards, or any other interactive features and activities on this website; or

MODIFICATION, SUSPENSION OR DISCONTINUANCE

Cancellation and Refunds
A member-visitor may cancel his/her TM member-visitor account at any time. In the event that a fee was paid to register on this website, TM will return the pro-rated unused portion of the fee within sixty (60) days of a cancellation of a member-visitor account.

Changes to Terms of Use
TM reserves the right to implement revisions to the Terms of Use and/or any additional terms at any time. TM will provide notice of such change on the TM website. Continued use of the TM website shall constitute acceptance of such changes without qualification.

Suspension of TM Service or Member-Visitor Account
TM reserves the right to modify, suspend, or discontinue this website or any portion thereof, or any member-visitor’s account at any time without notice. Termination of a TM membership account for a service removes authorization to use the TM service. TM will not be liable for any such unilateral modification or discontinuance of any service offered on the website, apart from any pro-rated unused fee collected from the member-visitor.

Force Majeure
Neither party shall be liable for any breach of this Agreement arising from cause beyond its control including but not limited to Acts of God, insurrection of civil disorder war or military operations, national or local emergency, acts or omissions of government, highway authority or other competent authority, industrial disputes of any kind (whether or not involving either party’s employees), fire, lightning, explosion, flood, subsidence, inclement weather, acts or omissions of persons or bodies for whom neither party is responsible or any other cause whether similar or dissimilar outside either party's control. The parties hereby agree that either party may terminate this Agreement, by giving fourteen (14) days notice to the other party, in the event that the Force Majeure event which has occurred prevents either party from performing and/or continuing its obligations for more than a period of sixty (60) days.

Confidential Information
Save and except with the prior written consent of the other party, either party shall not at any time communicate to any person any confidential information disclosed to him for the purpose of the provision of theTM Service or discovered by him in the course of the provision and performance of TM Service. For the avoidance of doubt, TM may disclose any confidential information in regards to this Agreement to TM’s its affiliates in its ordinary course of business and/or on need to know basis as the case may be.

Assignment
Visitor shall not assign any of his rights or obligations under this Agreement to any other person whatsoever except with prior written approval of TM. TM may assign or novate this Agreement or any part thereof to any body corporate which is a parent company, subsidiary or related company of TM and consent for the abovementioned is hereby given by visitor.

Costs and Taxes

Visitor shall bear the stamp duty on this Agreement.
Any cost incurred in relation to preparation and legal vetting of this Agreement shall be borne by the parties respectively.
Visitor shall bear all Government taxes, levies and other costs imposed by law in relation to the provision of TM Service by TM. In particular, where Goods and Service Tax (“GST”) is applicable to TM as the supplier under this Agreement, TM is entitled to charge the GST payable to the Government on the Service and/or any TM services or equipment supplied to the Customer.

If TM is liable for GST then:

TM shall:
- provide to visitor information that may be reasonably required to establish its liability for GST; and
- provide such information and documents as may reasonably be required by the visitor to enable the visitor to claim an input tax credit under the law applicable to GST; and
where a taxable supply has been made and consideration charged but the applicable GST has not been charged, the increase in the consideration required shall be paid by the Customer.

If the fees, charges, damages or any other monies due hereunder by the visitor to TM shall be required to be recovered through any process of law, or if the said monies or any part thereof shall be placed in the hands of solicitors for collection, the visitor shall pay (in addition to the said monies) TM’s solicitors fees and any other fees or expenses incurred in respect of such collection as may be determined by the Court of law.

Binding on Successors
These terms and conditions shall binding upon the successors, executors, administrators, personal representatives and permitted assign of the visitor and upon the substitute and permitted assigns of TM.

Variation
TM shall reserves the right to amend the terms and conditions herein contained at any time and the visitor shall be bound by the amended terms and conditions. Notice of the amendment may be given by TM to the visitor in such manner as TM deems appropriate.

Entire Agreement

This Agreement contains the entire agreement between visitor and TM and it supersedes all prior and contemporaneous agreements, promises, representations, warranties, and understandings of the parties regarding the subject matter.

INTRODUCTION

TM may need to track specific content access, usage and downloads for the purpose of paying royalties and license fees to third party providers such as copyright holders and content distributors as a condition of content licensing and royalties. In such cases, TM may provide overall content usage, access, demographic and other information without visitor’s personally identifiable information (name, billing information, e-mail address) to the content provider(s).

Information Derived from Visitors and Member-Visitors
TM stores information voluntarily submitted during account creation or through any other means of supplying information. When visitor create an account — providing visitor’s name, e-mail address, zip code and birth date and choose a password, the system saves visitor’s information and assigns visitor a personal ID based on visitor’s e-mail address. TM affords member-visitors the opportunity to subsequently update or remove personal information provided to TM. Member-visitors will have leeway in deciding whether certain personally identifiable information should be provided to TM. Personally identifiable information that a member-visitor provides TM is used for such purposes as communications, responding to requests, customizing visits and improving TM’s product.
